Les sociétés commerciales répondant à la définition des petites entreprises bénéficient de certains allègements de leurs obligations comptables. Les petites entreprises sont celles qui ne dépassent pas, à la clôture du dernier exercice, deux des trois seuils suivants : 6 millions d’euros de total de bilan, 12 millions d’euros de chiffre d’affaires net et 50 salariés.
Sachant que si une entreprise dépasse deux de ces trois seuils, cette circonstance n’a d’incidence que si elle se produit pendant deux exercices consécutifs. À ce titre, l’ANSA (Association nationale des sociétés par actions) a été amenée à préciser que ce délai de deux ans n’est prévu que pour l’appréciation d’un changement de catégorie d’entreprise et n’a pas vocation à s’appliquer à la constitution d’une société dès la clôture du premier exercice. Autrement dit, dès l’établissement des comptes de son premier exercice, une société peut déterminer si elle dépasse ou non deux des trois seuils considérés et, si ce n’est pas le cas, bénéficier immédiatement du régime simplifié de ses obligations comptables.
À noter : si une société se situe en-deçà des seuils requis à la clôture de son premier exercice, mais dépasse deux de ces trois seuils à la clôture du deuxième exercice, elle ne changera de catégorie que si elle les dépasse toujours à la clôture du troisième exercice.
